FocalPoint is very honored to participate in and support Alpex Acquisition Corporation’s Nasdaq listing process, accompanying the project team through key stages from early preparations, increasing the issuance size, coordinating with professional institutions, to landing in the capital market. During the project, FocalPoint helped Alpex gradually raise its planned issuance from around $50 million in the early stage to a final $115 million. At the same time, with precise planning on project structure, issuance timing, and key disclosures, Alpex’s registration statement was approved by the SEC in one go, without going through multiple rounds of comments, and successfully got listed on Nasdaq.
01 A SPAC platform driven by female leadership
Alpex Acquisition Corporation is a special purpose acquisition company (SPAC) that aims to merge with a business through a business combination or equity swap (De-SPAC).
Notably, Alpex is led by an all-women core management and board team. Its management and board members have experience in cross-border capital markets, corporate management, investment and mergers & acquisitions, as well as professional services. This background lays a solid foundation for Alpex to identify quality targets, drive business combinations, and communicate effectively with the capital market.
02 Key Terms of Project Release
Each SPAC Unit being publicly offered this time includes:

One Class A common share;

One redeemable warrant (1 Warrant);

One right to acquire a quarter of a Class A common share (1/4 Right) after the initial business combination is completed.
After this offering is completed, Alpex Acquisition Corporation’s Units will trade on the Nasdaq Global Market under the ticker ALPXU. In the future, after the Units split, the Class A common shares, warrants, and rights are expected to trade separately under ALPX, ALPXW, and ALPXR.
